If you're looking at the car from the front, upstream is closer to the exhaust manifold; downstream is further back, under the car.
Here's the surprising part: the two sensors do different jobs. The upstream sensor reports exhaust oxygen content to the ECU, and the ECU uses it to trim fuel. The downstream sensor's main job is monitoring the catalytic converter. So a bad upstream sensor can cause poor idle, bad fuel economy, and fuel trim codes like P0171. A bad downstream sensor usually gives you a catalyst efficiency code like P0420 and doesn't change how the car drives at all.
The assumption I keep hearing is that a bad downstream sensor kills fuel economy. Actually, it's usually the upstream sensor doing that. And the assumption that a bad upstream sensor causes rich or lean conditions is also backwards. In reality, an undiagnosed vacuum leak or fuel pressure problem makes both the engine run badly and the sensor report badly.
